3. Sanctions and Restricted Parties

International trade activity may be subject to trade sanctions, embargoes, and restricted or denied party requirements imposed by relevant national and international authorities. Orbis reserves the right to decline, pause, or terminate any engagement where a counterparty, product, destination, or transaction raises sanctions, restricted-party, or other compliance concerns.

4. Customs, Import, and Export Requirements

The international movement of goods may be subject to customs regulations, import and export licensing, product certification, labelling, and other regulatory requirements that vary by country and product category. Clients remain responsible for ensuring that all applicable requirements are met, and Orbis does not guarantee customs clearance, licensing approval, or delivery timelines.

5. Taxation

Tax treatment of international trade transactions, including value-added tax, customs duties, and cross-border tax obligations, varies by jurisdiction. Clients are responsible for obtaining independent tax advice relevant to their specific transaction and jurisdiction.

6. Due Diligence

Orbis may request documentation, verification, or additional information from clients and counterparties as part of standard due diligence practice prior to proceeding with any transaction. Engagement may be declined or paused where due diligence requirements are not satisfied.

7. No Guarantee of Regulatory Status

Unless expressly confirmed in writing, Orbis does not represent that it holds any specific license, certification, accreditation, or regulatory approval beyond its standard commercial registration in the United Arab Emirates. Clients requiring confirmation of specific regulatory status should request this directly.
